1968 – 1974: Jasmin & Marcoux. Staff Attorney. Representation before the courts and administrative tribunals, and advice in matters of general civil liability and penal and criminal law.
1975 – 1980: St-Germain, Marchand, Jasmin & Melançon. Founding Partner. Representation before all civil courts and administrative tribunals, and advice in matters of insurance, general and professional civil liability, civil law, and construction law.
1978 – 1984: Elected arbitrator under the Act relating to the construction industry.
1978 – 1991: Chief agent in Quebec for a Vancouver-based general insurer.
1981 – 1990: Marchand, Jasmin & Melançon. Partner. Primary outside legal counsel for a Montreal-based independent securities dealer from 1981 until November 1991. In this capacity, participated actively in the company’s growth (from tens of employees to more than 400). More particularly, acted as legal counsel of the firm (and its affiliates) for its two public offerings and the initial public offering of its subsidiary, for its acquisitions, start-ups, and divestitures, whether in Quebec, Canada, or across the major world financial centres, as well as with stock exchanges and organizations of which it is a member.
Also acted as legal counsel for (i) this securities dealer on the majority of its private placements and firm underwritings and on most takeover bids and mergers and acquisitions in which it acted as financial advisor, and (ii) a number of small- and medium-sized Quebec-based private and public businesses in corporate finance, mergers and acquisitions, and reporting issuer compliance issues.
Since 1991, Michel Marchand provides advice and representation to a number of securities dealers and advisors on (i) claims and civil lawsuits in damages issued by clients and third parties based on a variety of causes, including trading losses due to professional negligence, (ii) risk monitoring and compliance issues, and (iii) a variety of issues relating to registration with Canadian securities authorities, mergers, acquisitions and divestitures, change of control, debt and equity financing (private and public) and, generally, regulatory matters pertaining to corporate governance.
He also acts as legal counsel for (i) a number of financial institutions, corporations, and high net worth individuals with respect to various forms of debt and equity investment and financing, (ii) the independent committee of the board of four target corporations with respect to a takeover bid made by a controlling entity or other type of insider, and (iii) a number of businesses with respect to strategic planning and implementation issues.
